License Agreement for 25+ Done-For-You Digital Guides and Planners

This License Agreement ("Agreement")** is entered into by and between [Clear Path Digital LLC] ("Licensor") and the purchaser ("Licensee") of the done-for-you digital guides and planners ("Product").

1. Grant of Rights

Licensor grants Licensee the following rights with respect to the Product:

1.1 Private Label Rights (PLR):

- Licensee may rebrand, modify, and customize the Product as their own.

- Licensee may add their own branding, logo, and business information to the Product.

1.2 Master Resell Rights (MRR):

- Licensee may sell the Product to others at any price they determine.

- Licensee may grant resale rights to their customers, allowing them to also sell the Product.

- Licensee may give the Product away for free if they choose.

2. Limitations

The rights granted to Licensee are subject to the following limitations:

2.1 No Ownership Transfer:

- Licensee does not gain ownership of the Product. Ownership remains with Licensor.

2.2 Prohibition of Certain Uses:

- Licensee may not claim copyright over the original Product.

3. Intellectual Property

3.1 Ownership:

- Licensor retains all rights, title, and interest in and to the original Product, including all intellectual property rights.

3.2 Attribution:

- While rebranding is allowed, Licensee must not claim original authorship of the Product.

4. Modifications and Customizations

4.1 Permitted Changes:

- Licensee is permitted to modify, adapt, and create derivative works from the Product for their own use or for resale.

5. Distribution

5.1 Resale and Distribution Terms:

- Licensee may resell the Product at any price they choose.

- Licensee may give the Product away for free.

- Licensee may distribute the Product through any sales channels they prefer.

6. Warranties and Liability

6.1 Disclaimer of Warranties:

- The Product is provided "as is" without warranty of any kind. Licensor makes no guarantees regarding the results from using the Product.

6.2 Limitation of Liability:

- Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use of the Product.

7. Termination

7.1 Termination for Breach:

- Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement.

7.2 Effect of Termination:

- Upon termination, Licensee must cease all use of the Product and destroy all copies in their possession.

8. General Provisions

8.1 Governing Law:

- This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].

8.2 Entire Agreement:

- This Agreement constitutes the entire agreement between the parties regarding the Product and supersedes all prior agreements and understandings.

8.3 Amendments:

- This Agreement may only be amended by a written agreement signed by both parties.

8.4 Severability:

- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
